SugarLoot The Clique Movie Video Contest Official Rules AS A CONDITION TO ENTER THIS CONTEST, YOU WILL BE REQUIRED TO ASSIGN SOME OF YOUR RIGHTS IN YOUR ENTRY TO WARNER PREMIERE. PLEASE READ THE ENTRY REQUIREMENTS BELOW FOR DETAILS. CONTEST BEGINS JULY 6, 2007 AT 12:00 PM EASTERN STANDARD TIME AND ENDS SEPTEMBER 5, 2007 AT 11:59 AM EASTERN STANDARD TIME ("CONTEST PERIOD"). NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. OPEN TO LEGAL RESIDENTS OF THE FIFTY UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE 13 YEARS OF AGE OR OLDER ON OR BEFORE JULY 6, 2007. Sponsor: SugarLoot ("Sponsor") is the sponsor and administrator of the Contest and is responsible for the collection, submission or processing of entries or the overall administration of the Contest. Entrants should contact Sponsor with any questions, comments or problems related to the Contest. Warner Premiere, a division of Warner Specialty Films, Inc. ("WP") is responsible for judging the entries for determination of the Grand Prize winners and the fulfillment of all of the Contest prizes, except that Dell Marketing U.S.A. L.P. ("DMUSA") is responsible for fulfillment of the Voters' Choice - First Prize laptop computer award, an Inspiron™ notebook. Entry: To enter the Contest you must be a registered member of SugarLoot. There is no charge to become a member of SugarLoot. Through on-screen instructions you will be asked to provide information during the registration process including your name, email address, and date of birth ("SugarLoot Registration"). During the Contest Period, you may enter the Contest by visiting www.sugarloot.com and uploading a video of your audition (together with your SugarLoot Registration, "Entry"). The Entry consists of a performance from the downloadable Contest audition script. You must perform a reading from the script. Each Entry will be given a direct link, which may be provided to friends and family and for posting on blogs, forums and other websites to get others to vote for you. All entries must be received by September 5, 2007 at 11:59 AM Eastern Standard Time. All Entries become the exclusive property of WP, and none will be acknowledged or returned. Sponsor and WP shall have the right to edit, adapt, and publish any or all of the Entries, and may use them in any media without attribution or compensation to the entrant, his or her successors or assigns, or any other entity. VERY IMPORTANT! FOR GOOD AND VALUABLE CONSIDERATION, RECEIPT OF WHICH IS HEREBY ACKNOWLEDGED, ENTERING A SUBMISSION IN THIS CONTEST CONSTITUTES ENTRANT'S IRREVOCABLE ASSIGNMENT, CONVEYANCE, AND TRANSFERENCE TO WP OF ALL RIGHT, TITLE, AND INTEREST IN THE SUBMISSION, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS. FURTHER, ENTRANT RELEASES INDEMNIFIES AND HOLDS SPONSOR AND WP HARMLESS FROM ANY AND ALL LIABILITY IN CONNECTION WITH THE ENTRY MATERIAL SUBMITTED. You may enter the Contest only once. Additional Entries will be disregarded unless prior Entries have been withdrawn. You may remove your Entry at any time by clicking the "Remove" link at the top of the entry page. After removing an Entry, you may replace it with a new Entry, but any votes attributable to your earlier Entries will not be counted toward your latest Entry. Use of computer programs, macro, programmed, robotic, automatic and other similar means to enter the Contest is prohibited and may result in the disqualification of the entrant. TO BE ELIGIBLE TO ENTER THIS CONTEST, YOU MUST VERIFY YOUR EMAIL ADDRESS AT THE TIME OF ENTRY BY CLICKING THE VERIFICATION LINK DISPLAYED ON THE ENTRY PAGE. Eligibility: This Contest is open to legal residents of the fifty United States and the District of Columbia who are 13 years of age or older as of July 6, 2007. Void in Puerto Rico, Guam, The U.S. Virgin Islands, and wherever prohibited by law. Employees (and such employees' immediate family or household members) of Sponsor, WP and their parents, affiliates, subsidiaries, prize suppliers, printers, distributors, advertising and promotional agencies are not eligible to participate in the Contest. Entry Submissionons: Entries must only depict the performance of the Entrant. Entrant hereby represents and warrants that: (1) all materials included in his/her Entry are wholly original to and created by the Entrant, and has not been copied in whole or in part from any other work ("Entry Material") (2) except for the Contest audition script, the Entry Material is the Entrant's exclusive work and performance and does not infringe upon or otherwise violate the copyright, trademark, privacy, publicity or other proprietary rights of any third party; (3) the Entrant has the full and exclusive right and authority necessary to submit the Entry Material in the Contest and to grant the rights granted herein and in the Grant of Rights/Release without permission from or payment to any third party; and (4) Entrant meets all the eligibility requirements and has not engaged in any of the disqualifying activity listed in this document. Entries must not include music of any kind, brand names or trademarks (e.g. nationally recognized trademarks for items such as soft drinks) and Entrant further represents and warrants that the Entry Material submitted does not include music of any kind, brand names or trademarks. Any Entry which in the sole opinion of Sponsor is deemed inappropriate or which otherwise violates Sponsor's Usage Policy or Terms of Service will be removed, the entrant may be disqualified, and the entry will be disregarded. Privacy: By entering the Contest, you agree to Sponsor's use of your personal information as described in SugarLoot.com's Privacy Policy accessible from the Contest website. Voting: Anyone who visits the SugarLoot website may view and rate Entries on a scale of 1-10 with 10 being the highest point on the scale. Such voting will be used to determine the winners of the Voters' Choice awards (defined below). Winner Selections: Five (5) Grand Prize winners will be selected on September 21 by WP from among the pool of all eligible entries based on the following judging criteria: Screen Presence (33-1/3%), Talent (33-1/3%) and Compatibly with the film's character pool (33-1/3%). Entrants need not be present to win. Judging will be done by WP designated judges whose decisions are final and not appealable. The WP judges shall not consider the number of votes achieved by a contestant in their determination. As a separate promotion activity and not subject to judging, "Voters' Choice" awards will be made. The top sixty five (65) Entrants garnering the highest score ("Voters' Choices") will be awarded "Voters' Choice - First Prize" through "Voters' Choice - Fourth Prize" awards based on the below voting formula. In the event WP selects as a Grand Prize winner an Entrant who is a Voters' Choice, then such selected Entrant shall not be considered for a Voters' Choice award and the next closest vote-getter will be granted such Voters' Choice award. In determining a Voters' Choice, the top rated videos will be determined by the highest average score, calculated by adding the rating of each individual vote and dividing that number by the total number of votes. Videos must have a minimum of 100 votes in order to be eligible for the award of a prize other than the Grand Prize. In the event of a tie for a Voters' Choice prize, a panel of judges selected by Sponsor will determine the Voters' Choice based on the judging criteria for a Grand Prize winner. Potential winners ("Potential Winners") will be notified by email ("Prize Notification") although potential Grand Prize winners may be further contacted by other means of communications. Potential Winners must respond to the Prize Notification within five (5) business days of notification (the "Deadline") his/her full name and a mailing address ("Mailing Information") where Sponsor can send an Affidavit of Eligibility and Liability/Publicity Release (collectively, the "Contest Documents"). The mailing address must be a street address (no P.O. Boxes). Each Potential Winner (or if the Potential Winner is a minor in his or her state of residence, then parent or legal guardian of such Potential Winner) may be required to sign and return an affidavit of eligibility and release of liability within five (5) days of receipt of such affidavit and release. Provided that the Potential Winner has complied with these Official Rules and meets all of the eligibility requirements set forth herein, following Sponsor's receipt of the signed Contest Documents, Sponsor shall declare the Potential Winner the winner ("Winner"). Any Prize Notification, Contest Documents not responded to or returned as undeliverable may result in Prize forfeiture. In the event of non-compliance within this time period or if the Prize is returned, refused, or returned as undeliverable, then prize will be forfeited and another Potential Winner may be selected. No substitution or transfer of a prize is permitted except by Sponsor, WP or DMUSA, depending on the awarded prize. Prizes : WP will provide travel and accommodations in it sole discretion as it deems appropriate. There is no retail value attached to the audition or travel portion of the Grand Prize. Approximate Retail Value ("ARV") of the books is $80.00. Voters' Choice Awards - Five (5) Voters' Choice - First Prizes - The Voters' Choices garnering the 1st through 5th positions by way of the voting formula will each receive a JVC Everio hard disc camcorder, a Personalized Dell™ Inspiron™ Notebook, complete with internal DVD drive provided directly by DMUSA. (other options and colors to be selected by the winner from available Dell™ options), and a set of "The Clique" books (eight books) signed by Lisi Harrison. Approximate Retail Value ("ARV") $2,252.00 Five (5) Voters' Choice - Second Prizes - The Voters' Choices garnering the 6th through 10th positions by way of the voting formula will each receive a The Pretty Committee ultimate sleepover set, consisting of a selection of Too Faced Cosmetics, other make-up products and apparel and promotional merchandise for five individuals. ARV $69 per prize. Total ARV $345.00. Five (5) Voters' Choice - Third Prizes - The Voters' Choices garnering the 11th through 15th positions by way of the voting formula will each receive a $100 gift card to Target and an Alloy gift card in the amount of $100. All gift cards are subject to terms and conditions of card issuer and not redeemable for cash by Sponsor. No refunds given for any unused portion of any gift certificate. Value of each prize package $200.00. Total value $1,000.00 Fifty (50) Voters' Choice - Fourth Prizes - The Voters' Choices garnering the 16th through 65th positions by way of the voting formula will each receive one (1) copy each of four Warner Library DVDs chosen by WP. ARV$40.00 each. Total ARV $2,000.00. Selection and specifics of the Prizes will be determined in the Sponsor, WP, and/or DMUSA's sole discretion. Sponsor, WP and/or DMUSA, as applicable, reserve the right to substitute a prize, or portion of a prize, for another prize of equal or greater value. All prizes are awarded "AS IS" and without WARRANTY OF ANY KIND, express or implied (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). Acceptance, participation in and/or use of each prize are at Winners sole risk and Sponsor, WP and their parents, affiliates, subsidiaries, prize suppliers, printers, distributors, advertising and promotional agencies are not responsible for any damages whatsoever, including special, indirect, or consequential damages, arising out of or in connection with the use and/or misuse of any such prize. The ARV of a prize represents Sponsor, WP and/or DMUSA's good faith determination. That determination is final and binding and cannot be appealed. If the actual value ofa prize turns out to be less than the stated ARV, the difference will not be awarded in cash. General Conditions: Only one prize will be awarded per person per household per email address. The Contest is governed by the laws of the United States and California. All federal, state and local laws and regulations apply. The Contest is not to be used in connection with any form of gambling. Prize will only be awarded and/or delivered to addresses within the United States. All applicable taxes, fees, and surcharges on and in connection with the prizes, including, but not limited to, income taxes, sales taxes, federal, state, or local taxes, are the sole responsibility of the Winner. Winners may be issued a 1099 tax form for the ARV of the prizes. Failure to comply with the Official Rules will result in forfeiture of the Prize. If the Prize is forfeited, an additional Potential Winner will be selected from among the remaining eligible Entries based on the judging criteria attributable to such forfeited prize award. If, by reason of a typographical or other error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available. No more than the advertised number of prizes will be awarded. Entrant agrees to sign and complete (and parent/legal guardian if entrant is a minor) any additional documentation requested by WP. In the event a claim or dispute arises, in no event shall entrant be entitled to equitable or injunctive relief and its sole remedy shall be in an action at law for damages. Except where prohibited by law, the entrants and winners grant (and agrees to confirm that grant in writing) (and parent/legal guardian if entrant is a minor) permission for Sponsor, WP, and their advertising and promotional agencies, and those acting under their authority to use such winner's name, photograph, voice, image, biographical information, and/or likeness, and submission and/or winning entry (including the display, reproduction and distribution of the entry), for use in any and all media and formats now known or hereafter discovered throughout the Universe in perpetuity, without notice, review, approval, or additional compensation, including but not limited to promotional, advertising and/or publicity purposes in connection with the series of motion picture(s) for "The Clique". Entrants and winners further agree (and parent/legal guardian if entrant and/or winner is a minor) that Sponsor, WP, its respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, prize suppliers, other suppliers, printers, distributors, and the respective officers, directors, employees, representatives and agents of each and any other person or entity related in any way to this Contest (together the "Contest Entities") will have no liability whatsoever for, and shall be held harmless by entrants (and parent/legal guardian if entrant is a minor) against, any and all liability for any injuries, loss or damage of any kind to persons, including death, or property damage resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize, participation in this promotion, or while traveling to, preparing for or participating in any prize-related activity. The Contest Entities expressly disclaim any responsibility or liability for injury or loss to any person or property in connection with the delivery and/or subsequent use of the prizes awarded. The Contest Entities make no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations apply. The Contest Entities will not replace any lost or stolen prize items. Conduct: The Official Rules will be posted at the Contest Site throughout the Contest Period. Entrants further agree to be bound by the decisions of the judges, which are final and binding in all respects. Sponsor and WP reserve the right at each of its sole discretion to disqualify an Entrant if it finds that Entrant, or an individual acting with the approval of or in concert with an Entrant, to be tampering with the entry or voting process or the operation of any of the Contest or any website; to be acting in violation of the Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY DELIBERATE ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND WP RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. 8. Limitations of Liability: Sponsor and WP are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of Entries in the Contest. Sponsor and WP assumes no responsibility for any misdirected or lost mail, or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Sponsor and WP are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to entrants' or to any other person's computer related to or resulting from participating or downloading materials in the Contest. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. In the event of a dispute concerning who registered online to participate in the Contest, the registration will be declared to have been made by the authorized account holder or the email address submitted at the time of registration. The authorized account holder is defined as the natural person who is assigned to an email address by an internet provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A potential winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the email address. If a dispute cannot be resolved to Sponsor's satisfaction, the entry will be deemed ineligible.
