Official Rules

SWEEPSTAKES BEGINS ON MAY 2, 2007, AT 12:01 AM EASTERN TIME AND ENDS JULY 2, 2007, AT 11:59 PM EASTERN TIME. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. OPEN TO LEGAL U.S. RESIDENTS 13 YEARS OF AGE OR OLDER. ENTRANTS UNDER THE AGE OF THE MAJORITY IN THEIR STATE SHOULD GET PERMISSION FROM THEIR PARENTS OR GUARDIANS TO ENTER THE SWEEPSTAKES. VOID IN PUERTO RICO, GUAM, THE U.S. VIRGIN ISLANDS, AND WHERE PROHIBITED BY LAW.

Sponsor: Warner Bros. Records ("Sponsor") is the sponsor and Alloy Media + Marketing ("Alloy") is the administrator of the Sweepstakes and is responsible for the fulfillment of the prizes. Sponsor is not responsible for the collection, submission and processing of entries and the administration of the Sweepstakes. Entrants should look solely to Alloy at 151 W. 26th Street, New York, New York 10001 ("Sweepstakes Address") with any questions, comments or problems related to the Sweepstakes.

1. Online Entry - Enter the Sweepstakes online at www.alloy.com ("Sweepstakes Site"). To enter, complete the official registration form located at the splash page on the Sweepstakes Site. Through on-screen instructions you will be asked to provide information, including your first and last name, date of birth, mailing address, phone number and email address. Online entries must be received by July 2, 2007, at 11:59 PM Eastern Time in order to participate. The Sweepstakes Site database clock will be the official timekeeper for this Sweepstakes.

Automated or robotic entries submitted by individuals or organizations are ineligible and will be disqualified. Limitation: You can enter only once. Multiple entries will be void. No altered, forged or mechanically reproduced entries will be accepted. All entries become the property of Alloy and none will be returned.

2. Eligibility: Only legal residents of the United States (excluding Puerto Rico, Guam, and the U.S. Virgin Islands) who are thirteen (13) years of age as of the date of entry are eligible to enter this Sweepstakes. Employees (and employees' immediate family, defined as spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children and grandchildren, or household members) of Alloy, Warner Bros. Records and their respective parents, directors, officers, affiliates, subsidiaries, suppliers, printers, distributors, advertising and promotional agencies, and prize suppliers are not eligible to participate or win.

3. Privacy: By entering into the Sweepstakes, you agree to Alloy's use of your personal information as described in its Privacy Statement at http://alloy/home/privacystatement/. Among other uses, Alloy may disclose any personal information it collects in connection with this Sweepstakes to third parties.

4. Winner Selection: The winners of the Sweepstakes will be selected on or about July 5, 2007 from among all eligible entries in a random drawing to be conducted by Alloy designated representatives, whose decisions shall be final and binding in all respects. Odds of winning depend on the number of eligible entries received. Winner will be notified by email or mail, depending on entry method. Potential winner must accept a prize within three (3) business days of notification by either email or telephone. Any winner notification not responded to or returned as undeliverable may result in prize forfeiture and an alternate winner shall be selected. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability within fourteen (14) days of notification. In the event of non-compliance within this time period, an alternate winner will be selected. No substitution or transfer of a prize is permitted except by Alloy. Alloy is not responsible, and may disqualify an entrant, if the entrant's email does not work or if entrant's email or street address, as applicable, is changed.

5. Prizes:
One (1) Grand Prize : One Grand Prize winner will receive a limited edition One Tree Hill - The Road Mix Epiphone Les Paul Jr Guitar customized with special graphics and autographed by Tyler Hilton. Approximate Retail Value ("ARV") $149.00. No ARV has been assigned to the graphics or the autograph. No warranty or representation is made by Sponsor or Alloy that an autograph will be secured. In addition, the Grand Prize winner will receive (a) three (3) One Tree Hill CDs: One Tree Hill, One Tree Hill Vol. 2, and One Tree Hill - The Road Mix with ARV of $19.00 each and (b) one (1) One Tree Hill tee-shirt (ARV $17.00). Total ARV of Grand Prize: $223.00.

Runner-Up Prizes: Three (3) runners-up will each receive a One Tree Hill - The Road Mix CD (ARV of $19.00 each).

TOTAL APPROXIMATE RETAIL VALUE OF ALL PRIZES: $280.00

Alloy reserves the right to substitute the prize, or a portion of the prize, for another prize of equal or greater value. The ARV of the prizes represents Alloy's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prizes turns out to be less than the stated ARV, the difference will not be awarded in cash.

6. General Conditions: The Sweepstakes is governed by the laws of the United States. All federal, state and local laws and regulations apply. The Sweepstakes is not to be used in connection with any form of gambling. Prizes will only be awarded and/or delivered to an address within the continental United States. All taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules may result in forfeiture of the prize. All prizes duly claimed in accordance with these Official Rules will be awarded. If prize is forfeited or the Sweepstakes is cancelled, terminated, modified or suspended (including, without limitation, as set forth in paragraph 7 below), a drawing at random from all non-suspect eligible entries received during the Promotion Period may be made to determine the winner(s). If, by reason of a typographical or other error, more prizes are claimed than the number set forth in these Official Rules, all persons making purportedly valid claims will be included in a random drawing to award the number of prizes available as set forth in these Official Rules. No more than the number of prizes set forth in these Official Rules will be awarded.

Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York. In addition, any dispute relating to the Sweepstakes (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the City and County of New York. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction they may have.

Except where prohibited by law, the winner grants (and agrees to confirm that grant in writing unless otherwise prohibited) permission for Alloy their respective affiliates, subsidiaries and parents, their advertising and promotional agencies, and those acting under the authority of each to use such winner's name, photograph, voice, biographical data and/or likeness, for advertising and/or publicity purposes in all media now known or hereafter discovered, worldwide and on the world wide web, without notice, review, approval, or additional compensation. All entrants further acknowledge that if they are chosen as the winner, certain of their personally identifying information may be disclosed publicly as required by law, including, without limitation, on a winners list. Information collected in connection with this Sweepstakes may be shared with Warner Independent Pictures and Alloy's other promotional partners if and to the extent entrants agree at the time of entry, and in such event, the use of such information by such promotional partners will be used in accordance with such partner's respective privacy policies. Except as otherwise contemplated in these Official Rules, such information will be used in accordance with the Sweepstakes Site's privacy policy.

By entering, entrants further agree that Alloy, Warner Independent Pictures, their respective parents, subsidiaries, franchisees, and affiliated companies, divisions, licensees, advertising and promotion agencies, suppliers, printers, distributors, and the respective officers, directors, employees, representatives and agents of each and any other person or entity related in any way to this Sweepstakes (individually, collectively, jointly and severally, the "Sweepstakes Entities") will have no liability whatsoever for, and are hereby released and shall be held harmless by entrants from and against any and all claims, actions, damages, losses, liabilities and demands of any kind to persons (including illness, bodily injury, disability, death, or property damage of any kind) costs and expenses (including, without limitation, attorneys' fees, court costs, settlement and disbursements) resulting in whole or in part, directly or indirectly, from acceptance, redemption, possession, misuse, use, loss or misdirection of any prize, or participation in this Sweepstakes or any Sweepstakes-related activity and hereby waive all rights to claim punitive, incidental and consequential damages (unless otherwise prohibited). The Sweepstakes Entities expressly disclaim any responsibility or liability for injury or loss (including death or disability) to any person or property in connection with the delivery and/or subsequent use of the prize awarded.

The Sweepstakes Entities make no representations or warranties concerning the appearance, safety or performance of the prize awarded, and hereby expressly disclaim all such warranties including, without limitation, any implied warranties of quality, merchantability, or fitness for a particular purpose. Restrictions, conditions, and limitations apply. The Sweepstakes Entities will not replace any lost or stolen prize items.

7. Conduct: By entering the Sweepstakes, entrants agree to comply with and be bound by these Official Rules and hereby waive any right to claim ambiguity in these Official Rules. The Official Rules will be posted at the Sweepstakes Site through the end of the Sweepstakes. Entrants further agree to be bound by the decisions of the judges, which are final and binding in all respects and cannot be appealed. Alloy reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or any website; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ALLOY AND WARNER INDEPENDENT PICTURES RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Limitations of Liability: The Sweepstakes Entities are not responsible for any incorrect or inaccurate information, whether caused by website users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error, which may occur in the processing of submissions or notification of winners in the Sweepstakes. The Sweepstakes Entities assume no responsibility for any postage due mail or any entries that are misdirected, late, illegible, incomplete, mutilated, damaged, destroyed, forged, tampered with, incomprehensible, illegible, incomplete, stolen, lost or otherwise not in compliance with these Official Rules, or any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sweepstakes Entities are not responsible for any problems or technical malfunction of any telephone or cellular network or lines, computer on-line systems, servers or providers, computer equipment, software, failure of email on account of technical problems or traffic congestion on the Internet, Sweepstakes Site, or at any website or combination thereof, including injury or damage to an entrant's or to any other person's computer related to or resulting from participating or downloading materials in the Sweepstakes. If, for any reason, the Sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, human error or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes or because of any act of God or any other reason beyond the control of Alloy, then Alloy reserves the right at its sole discretion to cancel, terminate, modify, suspend or extend the Sweepstakes. In the event of a dispute concerning who registered online to participate in the Sweepstakes, the registration will be declared to have been made by the authorized account holder of the e-mail address submitted at the time of entry. The authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, education institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide Alloy with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved to Alloy's satisfaction, the entry will be deemed ineligible.

Winner's List and Rules: To obtain a printed copy of the names of the winners or a copy of the Official Rules by mail, send the applicable request and a self-addressed, stamped, #10 envelope to: Alloy, "One Tree Hill Road Mix Soundtrack Sweepstakes", 151 West 26th Street, 11th Floor, New York, NY 10001. Request must be received no later than December 31, 2007.
